Terms of Service

1. Acceptance of Terms

By accessing or using any website, application, API, software-as-a-service product, or consulting deliverable provided by Aetherio LLC ("Aetherio," "Company," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use our services.

We may update these Terms at any time. Continued use of any Aetherio service after changes are posted constitutes acceptance of the revised Terms. We will notify registered users of material changes via email or in-product notice at least 30 days before the effective date.

2. Definitions

  • "Services" — all SaaS products (including but not limited to dickless.io), APIs, SDKs, dashboards, documentation, and IT consulting engagements provided by Aetherio.
  • "Customer Data" — any data, content, or materials that you upload, submit, or transmit through the Services.
  • "Consulting Deliverables" — code, documentation, reports, architecture diagrams, or other work product created by Aetherio under a consulting engagement.
  • "API Key" — a unique credential issued to you for authenticating requests to our APIs.
  • "BYOK" — Bring Your Own Key, a configuration where you supply your own third-party API credentials.

3. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Services. If you are accessing the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Accounts & API Keys

You are responsible for maintaining the confidentiality of your account credentials and API keys. You agree to notify us immediately of any unauthorized use of your account. Aetherio is not liable for any loss arising from unauthorized access to your account where you have failed to maintain adequate security of your credentials.

We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for more than 12 consecutive months.

5. SaaS Products — Subscription & Billing

Certain Services require a paid subscription. By subscribing, you agree to pay the applicable fees as described on the pricing page at the time of purchase. Subscriptions renew automatically at the end of each billing cycle unless canceled before the renewal date.

  • We use Stripe as our payment processor. Your payment information is governed by Stripe's terms and privacy policy.
  • Prices may change with 30 days' notice. Existing subscriptions will honor current pricing through the end of the current billing period.
  • Refunds are issued at our sole discretion. We generally do not provide refunds for partial billing periods.
  • Credit packs (one-time purchases) are non-refundable and expire 12 months after purchase if unused.

6. IT Consulting Services

IT consulting engagements are governed by a separate Statement of Work ("SOW") executed between Aetherio and the Customer. In the event of a conflict between these Terms and a SOW, the SOW shall control with respect to the specific engagement.

  • Unless otherwise stated in the SOW, Consulting Deliverables are work-for-hire and all intellectual property rights in such deliverables transfer to the Customer upon full payment.
  • Aetherio retains the right to use general knowledge, skills, and experience gained during an engagement, and to reuse non-confidential, generic tools and libraries.
  • Invoices for consulting engagements are due within 30 days of issue unless otherwise specified.

7. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
  • Transmit malware, viruses, or any code of a destructive nature.
  • Attempt to gain unauthorized access to any part of the Services, other users' accounts, or our infrastructure.
  • Reverse-engineer, decompile, or disassemble any part of the Services, except to the extent permitted by applicable law.
  • Use the Services to generate, distribute, or store content that is unlawful, harassing, defamatory, obscene, or that exploits or harms minors.
  • Resell or sublicense access to the Services without our prior written consent.
  • Exceed published rate limits or circumvent usage controls.

8. BYOK & Third-Party API Keys

If you use BYOK features, you are solely responsible for your third-party API keys and any costs incurred through third-party providers. Aetherio encrypts BYOK credentials at rest and in transit but does not guarantee the availability or performance of third-party services.

Your use of third-party services through BYOK is subject to those providers' respective terms of service. Aetherio is not a party to, and bears no liability under, those agreements.

9. Intellectual Property

All right, title, and interest in and to the Services (including software, documentation, trademarks, and trade dress) are and shall remain the exclusive property of Aetherio LLC. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.

You retain all rights to your Customer Data. By using the Services, you grant Aetherio a limited license to process your Customer Data solely to provide and improve the Services.

10. Data Handling & Security

We take reasonable administrative, technical, and physical measures to protect Customer Data. Our specific data handling practices are described in our Privacy Policy.

Content moderation and PII redaction features process data in real time and do not persistently store the content analyzed unless you explicitly configure logging. Logs, when enabled, are retained for the period specified in your plan settings.

11. Service Availability & SLA

We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance windows will be announced at least 48 hours in advance. For paid plans, service-level commitments (if any) are described in the applicable plan documentation or SOW.

In the event of prolonged unplanned downtime (exceeding 24 consecutive hours), affected paid subscribers may request a pro-rata credit for the downtime period.

12. Confidentiality

Each party agrees to hold the other party's Confidential Information in strict confidence and not to disclose it to any third party except as necessary to perform obligations under these Terms or a SOW, or as required by law. "Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that a reasonable person would understand to be confidential.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Aetherio does not warrant that the Services will be error-free, secure, or available at all times. Content moderation, PII detection, and AI-generated outputs are probabilistic and may produce false positives or false negatives.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AETHERIO LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

AETHERIO'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO AETHERIO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

15. Indemnification

You agree to indemnify, defend, and hold harmless Aetherio LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Customer Data.

16. Termination

You may terminate your account at any time by contacting us or through your account settings. Aetherio may terminate or suspend your access immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the Services ceases immediately. We will make your Customer Data available for export for 30 days following termination, after which it may be permanently deleted.

17. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law provisions.

Any dispute arising out of or relating to these Terms shall first be subject to good-faith negotiation for a period of 30 days. If the dispute is not resolved, either party may pursue resolution in the state or federal courts located in Pennsylvania. You consent to the personal jurisdiction of such courts.

18. Miscellaneous

  • Entire Agreement. These Terms (together with any SOW) constitute the entire agreement between you and Aetherio regarding the Services.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
  • Waiver. Failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, acts of government, or internet infrastructure failures.
